Every Jimmbo auction is governed by one simple rule: the vehicle must be delivered in the exact condition shown and described in the listing. At pickup, the winning dealer has the right to verify condition — this may include an OBD-II scan to confirm the presence or absence of stored or pending diagnostic trouble codes and a short test drive to confirm run-and-drive condition. If the vehicle’s condition does not match the listing details, Jimmbo may, at its discretion, help mitigate the issue between the buyer and seller.
These Terms & Conditions form a binding contract between you and Jimmbo Holdings, Inc., a Delaware corporation (“Jimmbo”, “we”, “us”). By accessing the website or any related services (the “Services”), you agree to these Terms. If you do not agree, do not use the Services.
Jimmbo provides “Digital Services” to buyers and sellers of vehicles. The Digital Services include a platform for vehicle listings and information services. Jimmbo is not the creator or owner of the items posted on the Digital Services by sellers for buyers to bid on. Rather, we provide the Digital Services, which enable users to access certain features and functionalities, including posting vehicles and bidding on them. Sellers are responsible for ensuring that any of their listing content meets all applicable local, state, and federal laws, rules and regulations, and that any vehicle promoted, offered or otherwise described on the Digital Services is described in listings, and delivered as described, in an accurate and satisfactory manner.
As part of the Digital Services, Jimmbo may assist sellers in the creation of their listings (including the content of such listing), but it remains each seller’s responsibility to make sure that its listings are accurate.
Jimmbo is not an automobile broker, dealer or traditional auctioneer, and we do not sell, exchange, buy, or offer for sale, negotiate or attempt to negotiate, a sale or exchange of an interest in any vehicle listed on the Digital Services. Jimmbo has never: (1) held title for any vehicle listed on the Digital Services, (2) inspected any vehicle listed on the Digital Services, or (3) had any vehicle listed on the Digital Services in its legal possession.
The buyer and seller are solely responsible for completing the transaction. Jimmbo does not guarantee the accuracy of any listing information, vehicle history report, or VIN-decoded data.
As a seller, you agree to sell the car exactly as it appears in your photos and listing. This means:

A buyer may decline the purchase at no penalty if, at pickup, any of the following are true:
Buyers must document discrepancies with timestamped photos at pickup and notify Jimmbo support before leaving the seller’s location.
A winning dealer who backs out of a purchase without a valid reason under Section 8 forfeits the 1% buyer premium on their winning bid (minimum $100, maximum $1,000). Jimmbo may charge this amount to the dealer’s payment method on file, including by capturing any existing bid hold.
Buyers who decline a purchase when the vehicle matches the listing will be permanently barred from Jimmbo. Their dealer license, payment methods, and IP will be flagged across the platform. Dealerships found facilitating bad-faith cancellations will lose their account.
Sellers who misrepresent a vehicle (hidden damage, undisclosed lights, missing parts) will likewise be removed from the platform and may be liable for the buyer’s reasonable transport and inspection costs.
Attempting to complete a transaction outside of Jimmbo to avoid fees is prohibited and strictly enforced. If a buyer and seller introduced through Jimmbo close a sale off-platform within 90 days of meeting on the site, both parties will be permanently banned and jointly liable to Jimmbo for liquidated damages equal to the listing fee plus the dealer buyer premium that would have been collected on the final sale price.
(a) Payment of Fees. You agree to pay any applicable fees — including the refundable dealer bid hold, dealer buyer premiums, seller listing fees, and any other charges set forth on the Digital Services in connection with bids or purchases (“Purchases”) — together with any applicable sales, use or similar taxes. Certain features or services that you purchase, access or download through the Digital Services may be subject to additional terms presented to you at the time of purchase.
(b) Payment Processor. All payments made by you to Jimmbo shall be facilitated through Stripe, Inc., Jimmbo’s third-party payment processing service. Stripe’s terms of service can be found at stripe.com/us/terms. All information you provide in connection with a Purchase must be accurate, complete, and current. You agree to pay all charges incurred by users of your payment method in connection with a Purchase on the Digital Services at the prices in effect when such charges are incurred, together with any applicable taxes.
(c) Vehicle Sale Proceeds. Jimmbo does not process payment for the vehicle itself. Buyers pay sellers directly. Jimmbo never takes possession of, holds, or disburses vehicle sale proceeds.
(d) No Refunds. All Purchases of the vehicle itself are between the applicable buyer and seller; in the event you seek a refund related to a vehicle Purchase or have any questions about it, you must contact the applicable seller directly. If a seller's auction ends without any bids, or the vehicle does not sell, the seller receives a full refund of the listing fee they paid. Otherwise, listing fees are non-refundable once an auction goes live.

You retain ownership of the photos, videos, descriptions, and other materials you submit (“User Content”). By submitting User Content, you grant Jimmbo a worldwide, non-exclusive, royalty-free, perpetual license to host, display, reproduce, and promote it in connection with the Services and Jimmbo’s marketing. You represent that you own or have all necessary rights to the User Content you submit.
VIN-decoded specifications (NHTSA) are provided by a third party for informational purposes. Jimmbo does not guarantee their accuracy or completeness. Buyers should independently verify any information that is material to their purchase decision.
We may update these Terms or change, suspend, or discontinue any part of the Services at any time. Material changes will be posted on this page with a new effective date and may be communicated via email. Continued use of the Services after changes take effect constitutes acceptance.
You may terminate your account at any time from your account settings. Jimmbo may suspend or terminate your account at any time, with or without notice, for any breach of these Terms or for any reason at our discretion. Sections covering payment obligations, content licenses, disclaimers, limitation of liability, and indemnification survive termination.
The Services and all content are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Jimmbo does not warrant the condition, quality, safety, or legality of any vehicle listed, or the truth or accuracy of any listing.
To the fullest extent permitted by law, Jimmbo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services. Jimmbo’s total liability for any claim shall not exceed the greater of (a) the fees you paid Jimmbo in the 12 months preceding the claim, or (b) one hundred dollars ($100).
You agree to defend, indemnify, and hold harmless Jimmbo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, your violation of these Terms, or your transactions with other users.
Jimmbo respects intellectual property rights. If you believe content on the Services infringes your copyright, send a notice including your contact information, identification of the copyrighted work, the URL of the infringing content, and a good-faith statement to our designated DMCA agent at roger@jimmbo.app. Repeat infringers will have their accounts terminated.
Your use of the Services is also governed by our Privacy Policy, which describes what information we collect, how we use it, and your choices.
Jimmbo is a marketplace only. We are not a party to any sale, do not take possession of vehicles, and do not hold funds outside of the listing fee and buyer premium. Any dispute, claim, or disagreement arising out of a transaction — including vehicle condition, payment, title transfer, delivery, or post-sale issues — is strictly between the buyer and the seller, who are responsible for resolving it directly between themselves.
Jimmbo has no obligation to mediate, arbitrate, investigate, or adjudicate disputes between users, and will not act as a judge of facts between a buyer and seller. We may, at our sole discretion, suspend or permanently ban accounts that violate the “As-Shown” guarantee, the buyer’s obligation to complete a conforming purchase, or any other provision of these Terms, but such enforcement is a platform-integrity action and not a resolution of the underlying dispute. Buyers and sellers are encouraged to document the vehicle thoroughly at pickup.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Jimmbo Holdings, Inc. is a Delaware corporation. You agree that any action at law or in equity arising out of or relating to these Terms or the Services shall be filed exclusively in the state or federal courts located in Delaware, and you consent and submit to the personal jurisdiction of such courts.
